He was more of a position-filler in SCW. I guess him killing Jack T. Chance was impressive. "

thats because he didnt get to do much during SCW... and I am curious as to why you would use that version of Parallax anyways if you havent seen much of him in the first place...  "

who said you had to use Zero Hour Parallax... you could have used Hal Jordan as Parallax at normal levels... Hal didnt have Parallax just in Zero Hour saga...  "

Too many heavyweights on Team Marvel. DC has heavyweights, but Marvel has too many of them. You could basically take out Iron Man, War Machine, Hulk Robot, Rulk (even though Rulk's PIS factor solos this), Magneto, Sue and Johnny, and Marvel is still overwhelmingly heavy.

I don't know -----Silver Surfers busted up a lot of powerhouses, IMO he could take Adam, The Hulks and Thanos could definently physically rough up Henshaw.  I'm not very familiar with Parallax, other then the feeding off Fear thing, but Magnetos powers have been godlike depending on whos writing him.  Not to mention Starrk, Summers, and some of the others are great leaders who can come up with a good strategy Their are alot of members on the Marvel team who would die instantly. But Magento will try to affect him from distance. There are three Thor level characters and Surfer who can hold their opponents for some time.

Cyclops, Archangel, Magneto, Apocalypse, Black Bolt, Invisible Woman, Human Torch, World War Hulk, Red Hulk, Hulk Robot, Iron Man, and War Machine are all complete non-factors. The only legit threats are Surfer, Thanos, Doctor Strange, Thor, Beta Ray Bill, and Ragnarok. Thor, Bill, and Ragnarok would have a tough enough time with SuperMan. Adam, Cyborg Supes, and Parallax are all greatly above Supes. They'll go down. Strange, Thanos, and Surfer can put up a fight, but they will go down also. Adam, Cyborg Supes, and Parallax are all too powerful for even this large a team. 

I forgot that Ragnarok is useles. Cyborg will take control over him and Magneto will have to shut him down. Only chance for Clor is some magnetic shield from Eric.
Black Bolt and IW (maybe HT too) can do some damage if they won't be taken quickly. Hulks don't have too big chance to do anything, Strange too, because he can't use spells in this battle. I don't know Cosmic Hulk, but I doubt that he is powerfull enough too make a difference here.
Apoc must hide somewhere, so he maybe will have an occasion for TP assault.
Archangel & WM? Really? Even IM is useless if he can't use some XXXXbuster armor.
Thanos will probably be to slow to attack them in classic way, but maybe he try to absorb some energy or TP assault.
I doubt that Marvel can do too much here.

I think that I made a scenario in which Marvel can win:
Magneto is protecting Apoc, Clor & Cosmic Hulk from Cyborg's technopaty.
Thanos & Apocalypse are using TP assault on DC team and slowing them down by it.
Sue will protect fighters from Marvel.
C. Surfer is going to stalemate Parallax
Thor is going to stalemate BA
BRB is going to satlemate Cyborg S. 
Then BB will help Surfer and try his scream on Parallax, Clor will help Thor and Nova will help BRB.
Other guys from Marvel could try to help, but their will probably be useless.

Team DC due to Parallax. Most of the guys on team M are just dead weight and would easily get BFR'd.

Adam and Cyborg die, Parallax is a threat but he's got little muscle to show, if it was Hal I would give him a slaughterhouse but its not Hal.

Team Marvel does have a lot of non-factors involved. Silver Surfer, Nova, Odin-Force Thor, Beta Ray Bill, and WB Hulk would be enough for the front line. Doc Strange, Sue Storm, and Magneto would provide backup/support with strategy and extra protection through fields. I am afraid the rest of the team Marvel would be best to stay out of the way because they would be one shotted.  
 
I think Marvel wins due to numbers, because SS, FF NOVA, OF Thor, and BRB are no pushovers and with the extra manpower, it makes for a better chance of victory.
