For no reason on then it is the coolest evil black dude in comics vs the coolest good black dude in comics(IMO).
Anyway they both have tech and they both are good fighters Black manta is a human that constantly fight highly advanced and strong sea creatures like aquaman(up yours superman beating up lex luthor). Black panther takes on numerous foes that should in theory out class him.

The fight is to the death, all weapons and powers can be used, and is takes place on a boat in Wakandan sea.

I posted some similarities of the two in a battle thread and the more I think of it the more I think the two would have been a perfect match if marvel and DC still printed Amalgam comics(A fusion of their characters put together on a wacky combination universe).

 These two characters are extremely similar, kind of like their archenemies(Batman and Captain America).
Both strong but powerless villains with great mental abilities. Both extremely skilled at manipulation Twoface(through the law and chance) Zemo(through BS). Also facial dis figuration is a big part of their characterization. Mainly though they are similar in the fact that neither is purely evil, and can easily go from bad to good by the situation or the flip of a coin and neither seem to know where they stand.
 Both Twoface(batman) and Zemo(captain America) are considered major foils to the heroes they have sworn to destroy(mainly because in a way the hero they face made them into what they are). But although both are considered major villians they are not recognized as the main enemies of their chosen hero (The joker and Red skull take those spots).  Also both have even been heroes for a time.

They both have odd relations with their fathers while twoface was abused and some of his anger stems from that. Zemo's father was a villian who was defeated by captain america, and zemo acctually had his face disfigured in a vain attempt to get revenge(Phoenix FTL). As I posted earlier Twoface has a bloody history with the Robins especially dick and Jason, while Zemo's father is the one who is thought to have killed Bucky(Zemo actually getting bucky arrested when he found out the sidekick was still alive). They both are crazy, they both can kick some arse,

Baron Harvy Dent or Helmut dent, or something cool.

Absolutely! He was the trial by fire for all three of the first Robins, the villain they had to face and endure to prove themselves as Boy Wonders. I like to think of Two-Face as the "Wacky Uncle" to the Robins in the Batfamily. It's a shame that Steph and Damian broke the pattern, and never faced against Harvey as well. 

It's worth noting that the Robins also have a history of particular antagonism against Two-Face, mainly stemming out of a lack of sympathy when it comes to the way Bruce gives him special treatment. In the Bronze Age, the episode "Second Chance," and in "Face the Face," the Robins simply don't understand or like that Batman keeps holding out hope for Harvey.

They only see the monster of Two-Face, whereas Bruce is always looking for the Harvey Dent within. 

Batman and Harvey have a complicated relationship of failure, disappointment, redemption, and betrayal. Two-Face and the Robins just have hatred, a special kind of bitter hatred that only comes from him being there at the moment they earned their wings.

It is only a matter of time before Damian Wayne ends up on the wrong side of Big Bad Harv's coin, and then that kid will experience some much needed childhood trauma.

 I mean him and Bruce go way back, but Harvey Dent has a long history of tormenting the Robins. He was responsible for Jason Todd's fathers death.  Dick Grayson was fired for a time as Robin because two-face beat his ass so hard(and almost killed him). Not to mention he put batman and the D.A. in a double gallows trap and Robin failed to save the DA(that traumatized him). 2 face also attacked Dick Greyson(in his custom made batman suit) . He has encountered Tim Drake numerous times and its only a matter of time before he and Damian seriously go at it.
 
it is kind of funny because in a way because Harvey Dent was batmans first partner in justice along with Commissioner Gordon. They were working together to catch crooks, but then he got acid thrown in his face. Batman felt bad but moved on to get some kids two help him put the bad guy away, while tent became a monster.  Even in Nightwing the great leap Harvey and Dick were fighting pretty hard, because Dick grayson has not gotten over some of the things Harvey has done(like take a baseball bat to him). In a way batman goes back and forth but usually he thinks harvey can be saved, while dick puts him on the same level as the joker.

No prep just normal fight in a deserted street, with full gear. Bloodlust on, but fight does not have to end in death.

Honestly it breaks even especially with so many stories where the main charachter is be definition bad and he comes out on top. I think it is more of a question does the main charachter always have to win(which does not happen all the time).
