first: lets look at the powers and abilities.
Spider-man: he have super strength (can lift 15 ton truck/car), and he have spider sense (he will know whats gonna hit him), and he has super speed, spider-web and intelligent.
Joker: highly intelligent, unpredictable, can be surprisingly strong hand to hand combat, always have plan b (he can have many plan b's) and always armed with flower(s), fish, water pistol, joker venom, and alot more.
second: where are they? are they alone?
if they are in the big city, joker can turn the whole civilians against spider-man.
in jokers place, as usual filled with traps, and surprices.
and by the way, joker likes to talk, he'll distract spider-man, and while he's distracted, then thats where joker make his move.
And spider-man, bretty much will beat joker down as soon as hi get the chance.
(sorry I cant say much about spidey, but for me, he strikes right to it as soon as he get the chance)
I'll say 50/50. It depends on where they are.
