Will is a MUCH better actor, Pursuit of Happyness, 7 Pounds, Bad Boys, MIB, better range, MUCH better at drama and actually making you feel the performance. Johnny acts pretty much like the same sarcastic wierdo in everything in the last 15 years.
Funnier is debatable, it depends on whose style you like better, personally like Will better but Johnny was good in the first pirates move, too bad he has played pretty much the same guy in everything sense.
Depp is a much better actor than Will Smith. According to IMDB Depp has been in 57 titles where Smith has only been in 31 titles so Depp wins that one, but Will is probably a little more funny.
Johnny Depp is a rather diverse actor. He usually acts differently depending on the movie he does (yes he does the same type sometimes, but he has some differences). I like Will Smith, but let's face it: he plays the same guy in almost every movie. I haven't seen his dramatic roles (Pursuit of Happiness, Seven Pounds) so I don't know how he is in those. But I mean the action / comedy roles (I, Robot, Hancock, Independence Day, etc)
I think Will smith is a better actor. I am legend while not a great movie was interesting cause he kept me entertained for half of it and it was just him and a dog.

Will wins every category for me (except number of movies, since that's a fact more than an opinion) Fresh Prince of Bel Air + Seven Pounds= a win for smith.
