The battle takes place in the center of Shanghai . 
They start off from 70 feet apart.
It is a random encounter. 
Character morals apply.
Mandarin has got all his rings and this is Marvels version of Dracula.

Wow, nice one! 
 
From what I know about the rings, it seems like Mandarin is like a GL-light...  Has he fought mystical enimies before?  His matter manipulation and disintegration rings would be problems maybe...  I'd like to see how his mind controlling ring thing would work on Dracula...  I'll stick with 50/50 till the guys more familiar with Mandarin show up...

Drac is tough, normally his immortality and magic gives him a chance against anyone. Colossus, Apocalypse even Thor and Surfer
 
But Mandarins has a ring for almost anything and the White-Light Ring is what ends this, it can collapse Dracula under his own gravity and it can be the "silver bullet" it controls the electromagnetic spectrum - including sun light

Yeah....I'm leaning more towards Mandarin here as well...  I usually think Dracula doesnt get enough respect in the few battles I've seen him in (I blame all of these poor vamp movies...), but these rings are crazy...

Dracula is pretty powerful too .....though im still undecided on who would win .

i think mandarin can win here as long as he doesn't get physical with drac and use the variety of arsenal from the rings, the only question is when drac goes intangible is he capable of any offensive attacks and if that attack would be a fatal one?

Thats is an interesting point indeed, im also intrigued by what Dracula could do when intangible.

Well if the fight is in-character, The Mandarin is going to get physical. I hear him compared to Green Lantern, but The Mandarin is actually closer to Wonder Woman or Thor in his style of fighting. 
 
He does things like creating a bunch of illusions of himself and then attacks with martial arts while the other guy is fighting things that aren't there.
 
Or he creates a tornado and then martial arts the other guy while he is spinning and dizzy.
 
Or he makes a giant hand made out of the ground grab someone and then martial arts them while they are caught.
 
His bread-n-butter is using his Chi-amped superstrength martial arts attacks. The rings are there mainly to get the other guy off balance. Don't think of him as a Green Lantern. Think of him as a high-end brick with ten different ways of getting the other guy off balance.
 
Anyway Dracula's top showings have always been when he is amped in some way. Juiced on mutant blood or goddess blood or amped by some spell. When he's not amped, he's simply not in The Mandarin's weight-class.

oh is that how the drac works? he gets amped via mutant blood etc? what about being amped via spell? as long as he can amp himself up via spell under his own that would be fine but if not then i can see mandarin having the clear edge here, btw mandarin can go more than just use his martial arts technique, he is capable of using the rings as form of ep as well

Dracula didn't defeat Surfer. Dracula annoyed a mind-control Surfer. The fight was basically this: Dracula tried his powers one after the other on Surfer, and none of them really affected him. Then Surfer broke free of the mind-control. The End.
