I doubt it, Uatu has never really had alot of showings on panel to my knowledge, but then again he did get sucker punched by rulk, which is pretty embarrasing. I suppose if uatu was seriously provoked (it does say that he's bloodlusted), then I think Thanos may need to bring his brown pants.
However, with three months of prep, I might give it to Thanos. His tech. was able to fool uatu (with clones, according to Dan Slott). and Doctor Doom was able to create a device that downed Uatu's nephew Aron (I think that's his name). So I'd see Thanos winning if his own abilities would include using his intellect to build tech. Of course, comparing Aron to Uatu and Thanos to Doom might be a mistake for me. But with that much prep Thanos won't hold back against someone he knows is leagues above him. Then again, neither would Uatu...but he isn't the fighting type, and I'm sure Thanos can at least match Uatu's tech. if he can't surpass it.
Normally I would have thought Uatu would easily beat an unarmed Thanos, but I recently read the early 2000s Thanos series, and he blasted a hungry Galactus right out of his ship. So his pure energy-manipulation/blasts are exceedingly strong. And physically he may be stronger than Uatu, without Uatu enhancing his natural strength. Still, I don't think his natural powers are as versatile as Uatu's, who has telepathic powers, plus he can do a lot more matter-manipulation style stuff, and I think time manipulation. Thanos has some of those powers, but to a lower extent than Uatu. So I would go with Uatu for the win.
With 3 months prep? It's interesting, because normally I would say Thanos is the prep king. But Uatu has the whole network of Watchers to call upon, who have god-knows what tech and other resources en masse to lend to him. Plus, since they sit around watching all the time, they would know where everyone else's important stuff is hidden, so he could go around snagging it. Plus, while Thanos is great at manipulating people to do what he wants, Uatu is friends with a lot of powerful players. He could just go around asking all the earth heroes if he could borrow the infinity gems. So just to play devil's advocate against the more obvious prep winner, I'm going to say Uatu wins with prep.
As an aside, I think we can only thank the God of PIS that Rulk didn't go up against Thanos!
