Well from her first appearance where she was living in Africa and the locals worshipped her as a goddess and saw herself as one before Charles showed up and made a rather weird proposition that she just accepted.

Loki has reacted fast enough to block Thor's attack a number of times, i would assume he could do that here too.
Also he's far too durable to be knocked down by a lightning bolt.
On the other hand if you look at his way to win, he has transumation, the best example probably would be him trans mutating Kang the Conqueror, or if you count Marvel Adventures (Transmutating the whole Avengers including Juggernaut), he can simply mindcontrol her, he has done so to Thor multiple times, he can also summon magic, Loki has gone far enough to switch bodies with Thor, to turning him into a frog.
Also loki has actually physically fought and beaten Silver Surfer before his annihilation upgrade.
