- Spiderman doesn't have webs, Captain America has shield, Conan has adamantium sword and dagger

- Morals on Spiderman, morals off team

- Battle is on empty street of New York

I'm going to say Spider-man due to the setting he has a lot of room to maneuver and get out of range. What version of Conan is this?

Spider-Man easily ... Conan hasn't got the strength, speed or durability to take Peter and neither he nor Steve can truly compensate for Spider Sense .... two peak humans vs a super-human who can mess with a human rhino who packs 80 ton strength lvl (I know Cap has done it too but his jobber aura helped) .... I don't think this is a fair fight at all ...

Spidey can take them.

If your referring to fight during Civil War then I believe that was a combination of PIS and the fact Peter didn't want to fight Cap.

Novels/dark horse they are nearly the same

Debatable. Without webs and with morals on, Peter won't likely be going all out so he'd spend a majority avoiding their attacks. However, he has the advantage in every physical category so it would help even the odds.
