Clarification on the version of Spawn would be appreciated. In Spawn's weaker incarnations, this would be a stalemate. But if it's one of the more powerful versions Spawn wins handily. Although to be fair, we don't know the full extent of what Neo could do in the Matrix. He might be able to produce some sort of holy weapon. Either way, there's no way to tell whether he could or not, so Spawn wins/stalemates.

@lukehero: How? Neo never just erased anyone plus only holy/demonic weapons can hurt him, and he can only die via beheading.
@jestersmiles: He erased Agent Smith at the end of their battle in the first movie. Agent Smith just found a loop hole. I doubt Spawn would find the same.
@lukehero: agent smith was a program and he never used that trick a again, And I doubt that would even work on Spawn.

@jestersmiles: Read the OP, it takes place inside the Matrix. There is no rule on the vine that says it always has to be a neutral field of play. Mephisto battles on the vine often happen in his own realm. It's NOT like Neo was omnipotent in the Matrix. He was just Hax.

@jestersmiles: If he is inside the Matrix he still has to follow by it's rules. He wouldn't be above them, unless he is one of the higher tier Spawns, in which this discussion would be silly. Since he would stomp by feats.

To my knowledge there's only standard, god, and some of the alt universe ones. In which case, standard.
But if there's a version I'm not aware of thy you think would make this fight better, I'd be glad to change the OP

in natural battle field ei? still mismatch.. spawn slaughters in any natural battlefield (assuming it's not the 1st age spawn)
Since this is in the Matrix, Neo has a clear advantage. "Holy weapons" themselves would be some kind of encrypted code that gives them special abilities. Neo can undermine such things and will himself beyond them. I don't think Neo ever fully realized his potential within the Matrix, he was simply able to will himself beyond whatever was opposing him.
