If Mags powers work on Kahns Armor, then Mags wins.

Otherwise, Mags dies really quickly.  One Mallet to the head, and Bob's your uncle.

Khan is a dark god who's dark magics were strong enough to steal every soul on Earth in MK3, with the exception of a few warriors under Raiden's magical protection.  Magneto has no such protection, so Khan would be able to steal Mag's soul.  If the OP were to be modified to say hat Magneto was under Raiden's protection I would say than it could be a good fight.  While The Emperor of Outworld is a dark god, Magneto commands the full power of the Magnetic spectrum, and has gone toe to toe with the likes of beings as powerful as Apocalypse before. Under Raiden's spiritual protection I think a wounded Magneto would come out victorious. 

I always found Shao Khan to be a bit strange, we know he's done a wide variety of amazing things as far as being the Emperor of Outworld goes but any time we see him or hear him in the games cut scenes or ending videos are what not he seems little more then the most brutish of the brutes with a few magic tricks. Hardly the dark sorcerer & military genius his lore builds him up to be. 

Shao Khan just spams his supers. Curb stomp.

Magneto doesn't even need to go anywhere near his "mallet" which he could manipulate BTW. He has his force fiend and hurl all kinds of metal crap at him.
