At this point Wolverine has a good chance but I'd still say Spider-Man.

Actually he was pretty sweet in X2.

spider-man is still stronger, faster and has webs. and Wolverine can be KO'd quite easily.

I don't think Wolverine really has much of a chance here.

Wolverine is more durable and skilled (as shown in his latest movie). However he's struggled with characters far less agile than Spider-Man. It doesn't help Wolverine that he's up against someone who is much faster and stronger. In addition to that, he has better reflexes.

yeah, but even though the x men movies contradict themselves with wolverine, he would just keep on getting back up, spidey wouldn't want to kill and would put it off, wolverine would go straight for the kill

The problem with Wolverine is consistency. He's more impressive in Origins but that takes place before and he's more skillful in The Wolverine but he didn't really train.

Are we taking feats from Logan and Apocalypse? If so, Logan might be able to take this. In Apocalypse, he sliced through over 40 armed soldiers with ease, and in Logan, for as long as he was hopped up on that green serum, he was tearing through dozens of enhanced ravagers. Also, he was a total beast in The Wolverine, and if he had the healing factor, he would have stomped most of his opponents in that film. Spiderman has the strength advantage but Logan outclasses him in durability and fighting skills. Spiderman had trouble with Green Goblin, a low-level enhanced street leveler, and he's never faced anyone as dangerous as Logan before.
