Punisher vs the Mandarin

 The Punisher has been asked by SHIELD to go into the heart of the Mandarin's empire in China to remove the warlord permanently.  Two scenarios... 
 
1 - No prep time. Frank gets teleported into the Mandarin's personal spa area. Due to his high tech arrival, and the Mandarin just about to entertain some of his guests, there are no weapons or rings involved. Just h2h.  Win by incapacitation or death. 
 
2 - Frank has 1 day of prep time, and a pretty detailed map of Mandarin's palace.  Mandarin has a spy in SHIELD that lets him know an assassin is coming within the hour, but not who or what equipment he has.  Frank has some of his advanced arsenal with him (pumpkin bombs and glider, a Doc Ock Adamantium tentacle, his replica Cap Shield, Owl's talons, and Ghost's gauntlets), and the Mandarin has all of his Rings. Win by incapacitation or death, no BFR.  *If I have Frank's advanced tech all screwed up, I'll change it*
 

First scenario is hard to choose as I know Mandarin is a good martial artist but does he have any feats like the Punisher in H2H combat? I will give it to Frank.
Second would most likely go to Mandarin, I believe he has higher tech and is smarter, but Punisher would have a chance to pull of a win. I say Mandarin 7/10.

Round two: Harder to call but with all his rings Mandarin may be to much for castle, I say 8 out of 10 times to Mandarin.

Stark couldn't fight his way out of a paper bag.

Untrue. Stark has beaten a school of sharks underwater unarmored. He's beaten a group of soldiers while he was dying from shrapnel in his heart. He's been repeatedly established as a skilled combatant. 
 
That said, he is nothing compared to the Mandarin, and completely needs the armor to fight him.

Stark is a decent fighter.
 
Round one is obviously going to consist of Frank being killed.
 
The Second round can obviously go either way if well prepared.

Hmm i think Punisher on 1st because its surprise an Mandarin would be acting a bit cocky to show off an surprised an Mandarin for two only after a long fight where there both hurt bad

Madarin wins both with ease. He has "tremendous skill skill in various Oriental Martial Arts". "without artificial aids he can split wood, cinderblock, or even mild steel". Even without his rings on he "wears equipment which at his mental command can generate a force field around himself that is powerful enough to resist the force of iron mans fists and repulsor rays".

With his rings on his right hand ring finger has a disintegration beam which could disintegrate frank and all his gear.

mandarin beats castle in both scenarios

1. Spite, Frank dies in a horrible way...
2. He stands a little chance but still dying...
