The Team of heroes and villians have their standard gear and are aware of who they are facing

who wins and why?

The two's biggest problems here are Green Arrow, Sabertooth, and Winter Soldier. They take out all the rest, but not sure about these three...

Prep makes this one sided. Plus killing deathstroke is difficult

Team 1 should win here. The biggest threat here is arguably Sabretooth, but Deathstroke and Ra's would be able to take out Sabretooth WITHOUT any prep. With Pre 52 Deathstroke's prep feats, I'd say its guarantee-able that he would find a way to beat the rest of the dudes within 3 hours.

Team 1

No one on team two is a threat. Sabertooth would give them somewhat of a fight but would lose too. Tim Drake has experience with slade and ras though so he might have something good for them too but unless he is given a lot of prep time he loses too.
