Ninjak's a formidable dude. His skill and tech would make this amusing to watch since Spidey's in character, but the Marvel heroes physicals give him a big enough advantage to take a big majority.
That said, the only way you can really make a case for Ninjak is through Spidey slipping up, so in terms of the verdict, it's an unfair fight. I'll go ahead and lock it. Just keep in mind that Ninjak may be awesome, but he's not superhuman.
