Mags cannot utilize his shields in this battle.

Magneto has no prep, Doctor Octopus and Sandman are bloodlusted.

Location: NYC

Morals are off.

Who will win?

Dr Octopus is immediately killed, because of his arms. Sandman keeps slipping away, until he comes up, turns his hand into a rock hard sword. He stabs Magneto right through the heart, killing him.

Winners: Sandman and Dr Octopus via Sandman being the lone survivior

@jeanroygrant: Fight is in New York, so there should be plenty of water mains or fire hydrants in the area he could easily rupture and use to soak Sandman. He could potentially even drop an entire swimming pool on him. He could also completely encase him in air tight steel or something along those lines, before dumping him in the ocean. Without shields Magneto can get one-shotted, of course, but in a place like NYC, I think there is still going to be enough metal and water in any given place for him to defend himself and actually threaten Sandman. Let's also not forget that even without shields, Magneto can still fly and still has superhuman reaction speed.

Magneto does not even need the steel in the surrounding environment. As he controls the entire EM spectrum as well as electricity (via his magnetic abilities), he could effectively fuse sandman, converting him to glass, through either massive electrical strikes or focussed microwave or infrared radiation. And Magneto has moved non ferrous metals and polymers through the use of magnetic force acting on the surface of the object. He can do the same to sand.
