It really depends. Loki and Ghost Rider both have immense durability. But if I remember correctly, Ghost Rider got KOed by an elephant gun (?) when he first tried to rescue Danny. Loki as far I can remembered was never KOed, he was defeated but never actually feinted. Penance stare would work on Loki but Loki can make duplicates of himself. Also would Loki be able to mind control Ghost Rider? I personally say yes, since in the movie Zarathos was corrupted. That would mean he is susceptible to outside influences, however Loki's mind control had its own flaws. Hawkeye and the Scientist dude were able to resist it, so Ghost Rider may be able to as well. I don't think Ghost Rider would be able to hurt Loki (aside from penance stare) and there is a slight possibility that Loki could KO him by blasting him with his staff.
@BlueComet: Well if he can get close enough then I think Ghost Rider can win this, I think it would be an interesting fight though.

By the end of the movie GR was able to withstand grenades to the face & laugh. And GR would also be able to hurt him with chains and hellfire.
Not saying he wins, but you're selling him short.
Does Loki get the spear? If not then GR stomps, if he does, he'll probably put up a good fight but eventually will lose.

How am I selling GR short? I just said they both had an equal chance of winning lol. Also how can you be sure the chains and hellfire would work? They worked on normal humans and demons, but Loki's own durability was immense. He took a hit from the hydra gun, which disintegrated normal people, and was only dazed. Also he took repulsors, gunshots, and a point blank explosion to the face with no injury at all. The only thing that injured him was the Hulk, and even then he was only dazed and had only a bloody lip. I cannot say, as a definitive yes, that Ghost rider would be able to hurt him with chains and hellfire. Ghost Rider's penance stare would work, but the problem would be getting into contact with him, since Loki can cast illusions. Also I never said that Ghost Rider would be surely KOed by Loki's staff, but he was KOed in the beginning by far less. Also Loki's blasts were far stronger than a grenade, not to mention, also composed of exotic energy.
@OmgOmgWtfWtf: I'm pretty sure the chains & hellfire would have the same effect as the penance stare since they're meant to do the same thing. And his chains also disintegrated people. (When did Loki take a hydra gunshot?) And Loki's staff never did anything that a grenade couldn't.

I wouldn't be so quick to assume his hellfire is the same as in the comic. There is no indication that it affects the soul like in the comic. I am merely stating that Loki's durability is above that of a human's (far above) and he is shown to have a high degree of invulnerability. Loki got shot by a hydra gun when he was aboard the Shield Hellicarier. Well technically it wasn't a hydra gun, but a more sophisticated version built by Shield, based on its design. So arguably, the one that Agent Coulson shot would be more powerful. Since it derives its energy source from the tesseract like the Hydra gun (which disintegrated normal people and destroyed pretty much everything it came in contact with), I am assuming it does the same thing. Loki took that to the chest, from a couple feet away, and was only dazed. Also Loki's staff is powered by tesseract energy which would mean it does the same things, which is evident in the beginning of the movie, when he came through the portal and proceeded to slaughter all the Shield agents. Using that as evidence, his energy beams should have more power than a grenade, not to mention it has the added ability of mind control.
@OmgOmgWtfWtf: The gun Agent Coulson used was more like a weak destroyer shot. But it's still good for a durability feat. GR would've been able to kill those shield agents too, easily. GR also took those huge missiles to the face and didn't have too much trouble getting back up.

Both Ghost Rider and Loki have excellent durability feats. I'm not sure how their abilities would affect each other (i.e. chains and hellfire vs. staff's energy beam and mind control).

Yes Nic Cage can't be stopped from making movies...its unfortunate for all mankind...
Since we are using their movie versions, Loki might be able to keep up the battle for a bit. The the Stare is what will take him down. So then he can go back to sipping his martini glass of M&Ms and Destroying Ghost Rider in his own special way.
The Rider wins...Penance Stare and that's all she wrote for Loki...I love Tom Hiddleston version of the character and all, but he's just a villain with daddy/family issues really if you think about it. All the stuff he's done and the Penance Stare would take him out pretty easily imo...IDK if he can even physically harm GR, tho I never saw "Spirit of Vengence". Was Ghosty able to be damaged in the 2nd movie?
@SHAZAM117: In the beginning he was KO'ed by a grenade launcher. But by the end he was laughing off large megaton missiles & grenades.

Ghost Rider. Loki doesn't have an answer for PS and in movie he didn't show too great level of magic-control.
