Darwin's powers are much more impressive. Lifeguard has not been shown to do half the stuff Darwin has (survive inside the M'Krann Crystal, survive full level attack from Hela). Moreover, Darwin received formalised training under Professor X etc. We've been shown that Lifeguard can die.
Both of their powers are reactive. So neither will do anything with their powers immediately. They will start out H2H and both will just constantly change to compensate for the physical fight.
Darwin is more powerful but since neither one has anything that actually hurt the other, this is ultimately a stalemate.

Lifeguard's adaptations seem to be much more predictable. When threatened she gains gold armor, when falling she gains wings, when fighting she gains claws (All leading towards a more Shi'ar like appearance) while Darwin has turned completely to energy and became smart just to gain his mother's approval. I think his powers are superior so he'll adapt in a better way and beat Heather.
