Where does the Battle take place? if it is in the Astral plane, then i would give it to Shadow King. But if SK is out of the plane and in standard human form, Grodd takes it.

I didn't know which would be more/less fair so I just left it undefined.
@Ultimate_Riddler: I would say it isn't fair either way lol, In the astral plane, Shadow King is way too powerful for Grodd to take on. If they are out of it, They are similar in their telepathic abilities, but Shadow King is a fat feeble man who participates in no physical exercise. Grodd could rip him limb from limb.

This is true, but he could easily move to a new body, could he not?
If two telepaths are fighting, I guess it will be more or less be in an astral plane and not in the physical world. Since it is the battle of will and possession. The weaker telepath always gives in. I believe Shadow King is more well versed in his telepathic powers and knows how to create mental traps and blocks. I remember during Psi-Wars he was able to live out with different people at once.
@Ultimate_Riddler: Xavier has trouble with Shadow King already and Grodd doesn't have the feats to suggest he is capable of fighting Shadow King. Shadow King is the manifestation of the dark side of human consciousness, present since the dawn of human existence. A battle in the astral plane would definitely go to Shadow King since he is one of the few telepaths that can actively manipulate the astral plane to his own benefit.
Shadow King doesn't have a physical body, he only exist in the Astral Plane and his only way to interact with the physical plane is by possessing someone else.
