Battle takes place in an open Ford Field stadium

no weapons (except bleachers, field lights and turf i guess)

Both want to exterminate the other

Win by KO or death

Professor Hulk isn't the weakest version of Hulk. That would be the Grey version...

okay, I'll admit I was being a bit biased. I do think he could defeat Prof. Hulk though. In his first appearance, Grodd mind controlled people from Africa to the USA. In much later issues, Grodd took over 3000 punches from Wally West without even flinching. The only way Wally even defeated Grodd was by punching him through a couple states before finally knocking him out.

Combine this with the fact that Prof. Hulk isn't Savage so he can succumb to mind control, and Grodd owns Hulk.

I don't. Know that much about Grodd can'he use mental attacks? And where did he get that giant spoon?

Yeah, the spoon does give Grodd an big edge in my mind. LOL, I wonder what sinister power it might hold.

Hm, I know Grodd is strong enough to throw cars like footballs through buildings.  
Not really that impressive compared to the Hulk.  
Not sure if the Proffessor version would be weak to mental attacks, seeing how originally the other hulks had an resistant against TK attacks.  
If that doesn't work he could use thunderclap close to Grodd's head, like he did that mutant kid with Telepathy.
