Pheonix is above Galactus level not equal to. If it was equal to Fate would have a chance ( the more powerful versions anyway not the wimp ones like Erik Strauss)
The Helm of Nabu or The Helm of Fate does have immunity to telepathy. And I am pretty sure Galactus is equal if not more powerful than the Phoenix Force when fully fed.
Phoenix wins, 1/2 of Dark Phoenix undid the magic that caused Inferno (a universal threat) in an instant. Roma said that Necrom and a sliver of the Phoenix was beyond her power, which stems from magic that rivlas that of her fathers "omniversal matrix" magic, he was afraid of Necrom too by the way.
