Both know each other.

They both start 200 feet apart and visible, at an unpopulated area.

Also there are some cars that will hinder their aiming.

Nothing hinders Floyd's aim.

Deadshot would destroy Punisher.

Deadshot should win quite easily....he's a much better marksman than frank

Deadshot's a superior marksman and I'm inclined to give him the majority, but does he have prep feats? Punisher's been pretty good against opponents given time to prepare, what with his Marine training and all.
