I miss that show. Anyway back to the topic, if danny stays intangible then or use his freeze breath, then he wins, however if danny forgets to phase, then spider-man will give him a beatdown.

I like both of em, But come on Danny in the show well to me anyway hasn't show that he has what it takes to beat spidey.
Spidey has taken hits from enemies stronger then enemies Danny has, He has taken enemies smarter then enemies Danny has, I can keep listing. Danny may have 2 years of experience as someone said but Spidey has more than just 2 years of experience taking on a bunch of different types of villians.
A realistic Danny Phantom, not limited by the inherent stupidity tv shows apply to characters to follow plots and make fights more interesting, would beat a realistic Spiderman.
This...really isn't debatable. You can't touch a ghost. Even if Spiderman does touch him, and is in the middle of beating him up, he can still turn intangible. He can turn invisible, as well.
Ignoring all his other powers, Spiderman realistically can't beat something he both can't see and can't touch.

and how can Danny hit Spider-Man while intagible? "
1. Cryokinesis- He can shoot rays of intense cold at him. Or, he could freeze the general air near and around Spiderman. 2. Briefly making his fist(or feet) tangible whenever hes about to try to land a punch or kick. 3. Focusing and making Spiderman intangible so that he goes through the ground or earth, then turning the intangibility off and making him appear tangible while in whatever solid object 4. Ghost Ray- He can shoot ectoplasmic beams or balls. 5. Duplication- He could duplicate himself and allow his duplicates to fight, while he's intangible. These duplicates also have the same powers. 6. The powerful ghost wail. 7. Shaping ectoplasmic energy into a weapon, and using it. 8. ??? 9. Profit!
Spider-man. If Danny goes invisible, Spider-man can easily detect him with his spider sense. And even if Danny turns intangible, Danny can't do any damage while he is intangible because he would just go through them, so therefore, it is merely a power used to dodge and escape. His ghost rays, easy dodge practice for Spidey. And Danny has proven his strength, but Spider-man is FAAAAR stronger than he is. If Spidey really wanted to, he could kill a human bieing with a single punch. However, Spidey doesn't kill so he holds back enough to knock someone out cold in 1-3 hits. Danny may be superpowered, but he can still take punches and damage like a regular person. Not to mention the immense amount of extemely powerful enemies Spider-man has taken down, even when the odds were totally stacked against him. Easy win for Spider-man.
danny wins, he is stronger then spiderman. peter cn lift about 10 tons.Danny easily carried 20tons, he effortlessly lifted a school bus full of children; the average school bus can weigh up to 16 tons and fit around 60 children, assuming each child weighs 50 kg. Danny can obviously lift a lot more since he didn’t show any kind of strain while lifting the school bus. Danny can also over shadow spiderman, shoot him with he energy plasts, trap peter in a force field...
