No preparation other than gathering everyone on Earth for DC and Marvel, only main continuity for DC and Marvel and no universe or above level entities for DC and Marvel.

Who are the major players of each universe to possibly win this?

Some beings are more powerful than Chtulhu and The Elder Gods in booth universes. If he's fighting only The Earths or Universe 616, Chtuhlu and team stomps.

No one. Cthulhu's horrors stomp, even without you limiting this to below universal beings. Humans go insane just trying to comprehend a fragment of what the existence of these Cthulhu-type beings are.

You do realize that lovecraft has Azathoth and Yog-sothoth right? There's some contention as to whether Azathoth or Yog-sothoth is the real omnipotent head honcho around, but as TOAA equivalents either one of them would crap all over Marvel and DC now that you'd removed *any* competition for them.

in "the brave and the bold #34" Etrigan and aquaman took down Cthulu, and its said that they do that almost once a year.

@7am_Waking_Up_In_The_Morning: haven't seen that one yet, but there are many funky picks of shuma and other characters (s'pecially the pairing with dormammu)

edit: shuma only controls ONE dimension IIRC

He controls thousands, but he's only the third most powerful being in marvel, behind the LT and TOAA. I myself see the Fulcrum as TOAA in another form, so I don't count him.
