If Zsasz can consistantly sneak up on Batman...  Then again, didn't Catman pull out some "I can smell you coming" bs one time?
 
It'll be close one way or the other but I do believe Zsasz is stronger and sneakier vs Catman's general skill advantage.

Zsasz has really only had one good showing against Wayne, the others have consisted of showcasing his tolerance to pain as he gets his ass handed to him, finds a hostage, then continues to get his ass handed to him, LOL

I seem to remember him doing pretty well in both War Drums and Knightfall. 
 
Every time Zsasz shows up, Batman gives him props and even after all of Stephanie's training not only was Batman worried she'd get killed if she went up against him but Zsasz snatched her out from under Batman's nose without Batman even realizing he was there. 
 
We're talking about a guy who's tougher than Killer Croc seconds after waking up from a coma, a guy who mortally wounds people with his bare hands in his sleep. 
 
I think at the very least he gives Catman a run for his money.

He didn't really accomplish anything in Knightfall.  There was a hostage situation and he was defeated pretty swiftly, IIRC.  There was the other incident where Batman beat his ass through the streets, there was a car chase, and then Batman proceeded to beat his ass yet again.  I wish Zsasz was better, but I honestly recall one solid fight, and even Batman then thought to himself that if he had no morals, he could quickly end it (the neck snapping remark). 
 
Tougher than Killer Croc? C'mon, who hasn't Croc been jobbed to?  And killing a standard person in your sleep isn't really a combat worthy feat.   
 
In the end, I believe this could be a good fight, especially since both are extremely skilled with bladed weapons.  But in the end, I just see Catman as the overall superior combatant.

I thought Zsasz was able to sneak up on Batman during Knightfall before being taken out.  Admitedly, I've only read like four Zsasz stories so I could very well have missed many losses to Batman.

It's all good, I just grabbed my TPB copy of Knightfall Part 1 to confirm. 
 
Pretty much goes like this: 
-Hostage situation. 
-Batman comes in. 
-Zsasz runs out the room, lights are out. 
-Batman enters hallway, Z is above on a light. 
-Z jumps down, slashes his cap. 
-Batman beats the crap out of him and police yell at him to stop pummeling Zsasz.
