Ultimate Cap is by far the better character.  He has a better history and has actually beaten Ultimate Hulk.

Ultimate Cap has superior physical attributes.

From what we have seen he would appear more durable (to blows) and stronger (he has demonstrated low grade superhuman strength - maybe around the 2 - 4 tonne level).
He has demonstrated high levels of agility and reaction speed that at least equal those of Cap 616.

As for their backgrounds, I like them both equally. Both have good and bad points.

Ultimate Hulk is weaker than actual Hulk and Cap has never had a chance to solo the Hulk.During Avengers he handled him well when he got outta hand...the most memorable time he knocked Hulk on his ass he had Spider-Man's help..not to say the KO wasn't legit though."

Yeah, Ultimate Cap's the definitve badass in the Ultimate Universe, he beat up Giant Man, dropped a tank on the Hulk, teleported a plane into the center of Ultimate Red Skull's chest, and has way better one liners than 616 Cap (That last part has nothing to do with the outcome of the battle).  He's way more ruthless than 616 Steve is and is physically stronger in pretty much every category.

I'm not sure about Ultimate Cap's feats but judging from his fight against Giant Man he seems to have considerable super strength (and just as much of a tactical mind as 616). Mainstream Cap is strong enough to beat Spider-Man and Luke Cage (mentioned in civil war).

Ult. Cap will win because of his ruthlessness and strength.
