Batman gets all of his equipment 
 
Captain America gets his shield 

both of them are not holding back 
  
They both have 20 years of prep 
 
Battle takes place in the batcave

Sir, I would like to commend you on the creation of this supremely original thread. Even though the Comicvine battles forum has been getting dozens of new threads every single day for over three years, I think it's completely safe to assume that two extremely well-known and similarly-powered characters such as Batman and Captain America have never been put in a battle before. The thought and research you put into the creation of this thread is truly inspiring.

Batman uses the 20 years and obtains the infinity gauntlet which he then uses to snap his fingers and erase Cap from existence. :P

Roughly, harsh law, yet still law.
 
Anyway, the battle being set in the Batcave is too much of an advantage, so it's a lock.
