Fight takes place in Gotham with Batman having mo prep time, Dinobot is in his first form and Batman has access to his usual arsenal
If Dinobot has the advantage of surprise, then he stomps. If not, a long battle follows the first attack, which ends in Batman's brutal death.
Since Dinobot beat all the Predacons including Megatron in Code of Hero, I think he beats Batman easily
