The only way Batman beats Spider-Man is with considerable, one-sided prep against a Peter that has no idea he' being targeted. Even in that situation Batman still has an uphill battle due to Parker's overwhelmingly Higher Stats.

Spider-Man let's Batman throw a punch, which he headbutts, subsequently sending all of Batmans bone matter through the back of his shoulder, cascading into the Jokers face. Green Goblin then gives Joker the wedgie of his life on the tallest crane in New York, where Spider-Man would after web up Batman, leaving the two enemies hanging together in a painful harmony for the remainder of their pitiful existences'. Then Spider-Man and Green Goblin kill each other, Mary Jane cries, and Team 1 wins by technicality.
