Nick Fury decides to invade Asgard with 8 helicarriers, 700 SHIELD operatives, Iron Man, Black Widow, Hawkeye, Spider-Man, Wolverine, War Machine, and all other resources SHIELD has.

Odin and Thor are not in this battle.

Lucky for Asgard to have Balder, Sif, the Warriors Three, and many other Asgardians. Fury should have prep, considering he got his resources together to invade. I can see going either way, but the Asgardians do have greater physiology and it is said that takes a LOT to kill them.
