I haven't read Ultimates 3 (... I probably shouldn't...) and most of Ultimates 2. But from what I saw in that and Ultimates 1, he's pretty good.

True. Neither actually won. But Cap had the upper hand throughout most of the fight. Peter didn't land many hits and Cap was capable of tricking at least once, using his spider sense against him.

Not at all. Spider-Man was neither knocked out, nor incapacitated, and in fact, he landed the final hit that made Cap bleed before Cap fled, exclaiming that "fighting like a spider" would grant him the win.

Captain America having the upper hand in a fight where Spider-Man was second guessing himself is no proof of him beating Spider-Man. Because I can just as easily bring up this.

Honestly, Spider-Man's durability is such, that Captain America actually hurting him post-Other, and in the Iron Spider armor no less, is nothing less than humorous.

Enough to slug it out with Titanium Man, who is class 50.

But, really, taking the average durability showings for Spider-Man into account, Cap's hits should have a minimal effect on him, armor, or not. He has a plethora of villains with showings of vast strength far beyond Steve's peak, and he tends to fight them in length without problem. For instance, a punch by Mister Negative send Spider-Man flying through three buildings, and he was still conscious afterwards. Without the shield, Cap isn't taking Spider-Man in a straight fist fight. And in that particular fight, Cap did not hit Spider-Man with his shield (using it as a diversion, instead), so the whole thing is implausible.

.... no, for most of Civil War they were on opposite sides. They fought twice: once in Spider-Man's tie-in and once in a group fight in the Civil War main title (I think #3 or 4)

In that comic, that was a dumb excuse... Spider-man has shown greater speed than the one appeared in that issue,The Cap needed to seem superior just in that issue, but the Cap is just a peak human, Spider-man a superhuman with the Speed of 15 persons and enough strength to lift 10 tons, he is clearly superior to the Cap.

First off, losing in your own issue is pretty bad. You have to admit. Second, Steve is more tactical than Peter is. He used Spider-Man's moves and his senses against him. I think he also used the momentum of Spider-Man's blows to make his own hits harder.

Yes he is, but also, Peter is a genius, the one reason that the Cap seemed superior, is because if he has lost, then the war would have finished.

He had a change of heart an issue afterwards. ASM # 535. That issue followed Civil War # 4, in which Goliath was killed by Ragnarok.
