The Bat has to die, but this can't be one of those boring, impersonal deaths, no, someone's gonna have to kill him. Who, of anyone, could take on the monumental task to kill Gotham's Dark Knight, not just in terms of abilities, but who could you really see killing Batman?

Any character from any media can be used (with limitations)

1) no one from Batman's regular rouge's gallery

2) no one above Superman in terms of power

They can have as much prep time as you could see them using, or who you think could just beat him in a random encounter.

Also I believe somebody like Daredevil or Black Panther could give him a run for his money.

Kidding. In all seriousness, the only one that comes to mind is Red Skull. While Bats is the physical embodiment of human will for good, Skull is easily the most evil human in the MU. There's some poetry in that.

Tons of people are capable of killing Batman...is this like one of those "Who can defeat *insert character* (usually Hulk) threads?

If so, it's kinda dumb because there are loads of characters who could absolutely destroy the bat...

- Not only was Jason partially part of Batman's rouge gallery, he's recently made amends with Bruce.

I like the thug-in-alley idea, but I'd have to say Deathstroke. Whether or not Deathstroke or the mass of random thugs fall into Bat's rouge gallery is another story.

I don't know why you restricted the rogue's gallery, because my automatic response is the Joker. Outside of regular villains, I think Lex Luthor is reasonable. You say that the person also can't be more powerful than Superman, so if Superman is on the table I would pick him. It would probably be a scenario like that in The Dark Knight Returns, except Batman doesn't survive.

And of course....Doctor Doom, Deadpool, Superman if he wanted to, Wonder Woman, Power Girl (although I can think of some fun asphyxiation techniques that wouldn't make it so bad).

Pretty much anyone from "Thug with a Gun" and up. You wouldnt know it if you listened to the "BatFanboys", but part of the beauty and POINT of the character is that he is a normal human, susceptible to everything normal humans are, even something as simple as an untrained gangster in an alley. Its funny that the same people who criticize Superman as too powerful/ invincible, argue that Batman is/rightfully should be.
